In New Moon, chapter 2, Carlisle talks to Bella. He explains Edward's reasoning. Carlisle tells Bella that Edward doesn't believe vampires have souls. Edward doesn't believe there is any hope for their kind after they die or whatever they do.
Edward doesn't want to change Bella because he fears he is damning Bella. Bella doesn't care. She says that wherever Edward is, she doesn't need heaven. Of course, Edward doesn't want to take that chance. So, he refuses to change her because of her immortality. But, at the end of New Moon, the Cullens vote on her immortality, and you know the rest.
To sum it all up, Edward puts her safety above all, whether her or her soul, he doesn't want to be damning her to hell of wherever the vampires go when they are "killed".
